These Terms of Service ("Terms") govern your access to and use of the marpy.io platform, websites, APIs, and related services (collectively, the "Services") provided by Fiscus Technology, LLC ("Fiscus," "we," "us," or "our").
By creating an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility and Accounts
- You must be at least 16 years old to use the Services.
- You agree to provide accurate account information and keep it current.
- You are responsible for safeguarding your credentials and all activity under your account.
- Accounts created with a company email may be controlled by that organization.
2. Services and License
- marpy.io is a cloud platform for building, running, and deploying software projects.
- We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services.
- All rights not expressly granted remain reserved by Fiscus and its licensors.
- Some functionality relies on third-party providers (such as AWS and Linode).
3. Your Content
- You retain ownership of code, prompts, data, and other content you submit to the Services.
- You grant us a license to host, process, transmit, and back up Your Content to operate the Services.
- If you publicly share projects, others may view or interact with them as enabled by product features.
- Feedback you provide may be used by us without restriction or compensation.
4. Acceptable Use and Responsibilities
You are responsible for your use of the Services and for complying with all applicable laws.
You must not:
- Use the Services for unlawful, harmful, fraudulent, or abusive purposes.
- Attempt unauthorized access to systems or interfere with platform operations.
- Infringe intellectual property, privacy, or publicity rights.
- Use the Services as primary training data for directly competing models.
5. Plans, Fees, and Billing
- We offer free and paid plans with different limits and features.
- Paid plans are billed in advance on recurring monthly or annual terms unless otherwise stated.
- By subscribing, you authorize recurring charges for subscription and usage-based fees.
- Except where required by law, fees are non-refundable.
- We may modify or discontinue free tiers at any time.
6. Changes, Beta Features, and Availability
- We may add, modify, deprecate, or remove features at any time.
- Beta or preview features are provided "as is" and may change without notice.
7. Suspension and Termination
- You may cancel at any time through your account settings where available.
- We may suspend or terminate accounts for violations, non-payment, or security/legal risks.
- Upon termination, access may end immediately and content may be deleted after a reasonable period.
8. Data, Privacy, and AI Training
- Our handling of personal information is described in our Privacy Policy.
- We may access customer data as needed for operations, support, safety, and legal compliance.
- AI Training is opt-in only: we do not use Your Content to train our models unless you explicitly opt in through documented consent.
- We may use de-identified or aggregated usage data for analytics and service improvements.
9. Service Level Commitment (Paid Plans)
- We target 99.9% monthly uptime for paid subscriptions.
- SLA exclusions include force majeure, third-party outages, scheduled maintenance, and misuse.
- Service credits (if any) are your sole remedy for qualifying SLA failures.
10. AI-Generated Output
- Subject to law and third-party rights, you own Output generated for you through the Services.
- You are responsible for reviewing and validating Output before production use.
11. Intellectual Property
The Services, including software, designs, and documentation, are owned by Fiscus or its licensors and protected by applicable intellectual property laws.
12. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, express or implied.
13. Limitation of Liability
To the maximum extent permitted by law, Fiscus is not liable for indirect, incidental, special, consequential, or punitive damages.
Our total aggregate liability will not exceed the greater of (a) fees paid in the 12 months before the claim, or (b) US$100 if no fees were paid.
14. Indemnification
You agree to indemnify and hold harmless Fiscus and its affiliates from claims arising out of Your Content, your use of the Services, or your violation of these Terms.
15. Export and Compliance
You must comply with applicable export control, trade, and sanctions laws when using the Services.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by reasonable means, such as email, in-product notice, or by updating the date above.
17. Governing Law and Venue
These Terms are governed by the laws of the State of Texas.
Any dispute related to these Terms or the Services must be brought in state courts in Travis County, Texas, or federal courts in Austin, Texas.
18. Miscellaneous
- These Terms and referenced policies are the entire agreement between you and Fiscus.
- If a provision is unenforceable, the remaining provisions remain in effect.
- Failure to enforce a provision is not a waiver.
